- Organize, prepare, and file Articles of Incorporation/Organization, state qualifications, organizational and related documents
- Prepare documents for transactions such as closing statements, UCC searches and filings
- File annual reports in States where corporations are incorporated and/or qualified to do business and maintain capitalization tables as well as stock and options ledgers
- Organize documents and closing books in connection with corporate transactions such as acquisitions and mergers
- Develop, monitor and update closing checklists, perform research and filings, maintain minute books (hard copy and electronic) and manage data rooms and matter files.
- College degree and/or paralegal certificate
- 3-5 years' experience as a paralegal in a legal department or law firm
- Strong skills in Microsoft Wod, Excel, and Outlook
- Strong verbal, written, and interpersonal skills required.
- Strong organizational skills and attention to detail
- Ability to work independently with strong follow-up skills.
- Ability to work with a group of lawyers and manage deliverable timelines and expectations.
- Experience in in-house legal department
- Experience with obtaining and maintaining contractor's licenses across the United States
- Experience with registering companies with various Secretary of State
- Experience preparing annual resolutions and director and shareholder resolutions as needed.
- Experience in corporate database entry and maintenance

Reporting to the General Counsel, Public Company and Corporate Secretary, the Corporate Paralegal will be a member of Aecon's Legal group and will support the legal team by assisting with all corporate legal matters relating to the operation of Aecon and its subsidiaries.
