    Job Description

    VP Tax, Alpharetta, Georgia

    Number of Direct Reports:

    Position Purpose

    This position is primarily responsible for leading/directing the income tax compliance function for all Brambles US & Canadian companies, and assisting the non-US business units in the Americas region, including:

    Responsibility for:
    1) all Canadian, US & state income tax compliance (returns, provisions & defense), and
    2) tax provisions for all LATAM affiliates
    leading and preparing the 2 consolidated U.S. income tax provisions,
    Responsible for the modeling of any Tax Reform impact on Brambles' US BUs,

    performing tax research for various US and international tax issues, and responsible for tax planning and defense functions for Brambles' subsidiaries in the Americas region.

    Major/Key Accountabilities
    Lead & Direct all Canadian & U.S. Income Tax Compliance, including returns & payments, provisions, planning, and audit defense. Income tax return preparation is co-sourced with Consultancy companies for USA, Canada and LATAM
    Lead & Prepare the Canadian & U.S. Consolidated Income Tax Provisions
    Review & approve all Tax Provision workbooks and submissions for all LATAM business units in the Latam America region
    Maintain the Americas Tax Provision workbooks;
    Lead future tax compliance automation project for the USA
    Manage future hiring and development of future/potential direct report
    Lead all Canada & US federal & state income tax audits, including responding to all income tax notices, and audit inquiries
    Perform tax research and effectively advise on tax related issues to the business units in the Americas region

    Monitor changes in US, Canadian and LATAM tax legislation , and responsible for modeling material implications to Brambles, if any.

    Also, ensure that Brambles is compliant with the new provisions in any final Tax legislation.
    Oversee the management and responsible for BEPS requirements for international income tax compliance for all companies in the Americas
    Transfer Pricing matters (international).
    Prepare the CHEP USA APA Royalty calculations for payment of foreign related party royalties.
    Responsible for Tax planning for the Americas region

    Timely and accurate lodgment of Canadian & US income tax returns, including review of about 100 form 5472 tax filings covering all foreign related party transactions for the 2 Brambles' USA consolidated groups
    Ensuring all tax positions taken have at least a more likely than not strength of success/treated in line with Tax risk management policy
    Tax planning to reduce the effective income tax rate (including minimizing tax risk)
    Maximizing of Group tax attributes
    Delivery of valued taxation services in a cost effective manner

    Principal Accountabilities
    U.S. Income Tax Compliance

    - lead entire tax compliance function. Lead entire co-sourced engagement with consultancy companies, Prepare workpapers, review returns, and timely file all income tax returns

    any US proposed Tax Reform modelling impact to Brambles and ensure final Tax Reform treated appropriately in tax returns
    Lead future proposed tax automation project
    Federal Consolidated and 1120-F tax returns
    State and City income and franchise returns (all states)
    Quarterly Estimated Payments and Tax Return extensions
    Maintain tax attribute schedules
    prepare all tax return workpapers supporting returns

    Develop & maintain the State Income, Franchise, & Apportionment models used through all stages of the compliance and tax provision process.

    Perform all quarterly income tax forecasting
    Income Tax Provisions

    - lead the entire tax provision process for the Brambles Americas region. Prepare and/or review all income tax provision submissions
    Lead, prepare and review U.S. Consolidated and Canadian Income Tax Provisions
    Lead and develop project management action plan for the entire process
    ensure all final US Tax reform appropriately treated in the US Tax Provision
    Prepare all tax journal entries

    • Analyse the tax liability accounts and tax reserves
    Review all BRACS submissions by business units in the Americas, and agree to supporting workpapers provided by the business units
    Review all U.S. business unit tax expense calculations and agree payments made via intercompany accounts.
    Responsible for making all US estimated and extension income tax payments
    Review and sign-off on all LATAM tax provision workbooks in the Americas region
    Maintain/update the tax provision workbook for all business units in the Americas
    Maintain/update the State Tax Model used to compute the State Tax Rate
    Lead and Respond to all income tax audit inquiries in the U.S. & Canada

    • Coordinate with auditors and respond to any income tax audit inquiries, document requests, and various tax notices. Assist business units, when needed, on nonincome tax related audits.
    Prepare various informational returns

    • Federal Forms 1042 and TD F , Ohio CAT (Commercial Activity Tax), BNA Maryland Property Tax Return, etc.

    Tax Planning:
    Impact to Brambles on proposed US Tax Reform
    Tax research & planning on a wide range of federal, state, and international tax issues.
    Issues related to business acquisitions (including purchase accounting) and divestitures
    Identify / analyze / execute value-driven, strategic tax solutions

    Training

    • Remain abreast and advise of any changes in tax laws and regulations, and the effect on the Company and its operations

    Support for Business Units -

    Ensure business units are informed of and understand Brambles Group Tax requirements for tax provision submissions.
    Support Headquarters Tax & Accounting Group

    - respond to various information requests from Brambles Group Tax in Sydney and London.

    Royalty Reconciliations for CHEP entities in the Americas
    Other tax provision matters

    Tax Provider Relationships

    • Lead the entire cosourced tax compliance engagement with Consultancy companies
    Global Basis Erosion and profit Shifting (BEPS) requirements -assist with country & local file requirements on for all companies in the Americas
    Tax Automation - potential for income tax compliance automation in the future.

    Qualifications
    Professional qualifications in tax and financial accounting
    B.S. degree in Accounting or Finance, with masters degree in Taxation desired.
    Certified Public Accountant

    Experience
    Have worked for the Big 4 Consulting companies/Firm
    Minimum of 8 years tax experience (prefer at least 4 years of Big 4 experience)
    Strong understanding of large U.S. federal consolidated and multi-state tax returns
    Broad base of knowledge/exposure to complex federal and international issues
    Ability to perform tax research
    Must have very strong Accounting for income taxes (provision) experience
    Domestic tax research and tax planning
    Managing acquisition and divestitures tax transition issues
    Automating tax compliance and provision process
    Clear & concise communication skills, both written and spoken
    Strong interpersonal skills for developing and maintaining business relationships
