    Job Overview

    In-house General Counsel to oversee and advise on all legal matters and transactions, guide the defense against prospective or pending claims, and monitor applicable legal, regulatory, and compliance developments.

    This role will advise ownership on strategic initiatives, prepare and review legal documents, negotiate the terms and conditions of transactions, and ensure legal compliance regarding acquisitions and portfolio transaction activity.

    This position will oversee compliance with corporate governance and establish the prudence of defending lawsuits. Negotiation and analytical skills are necessary. The General Counsel is expected to display influential decision-making with research and communication skills.
    Responsibilities and Duties

    • Interpret laws, rulings, and regulations for real estate assets and transactions.
    • Ensure that appropriate approvals are in place before executing real estate transactions.
    • Manage regulatory and compliance-related services.
    • Represent the company in purchases and sales of properties and significant real estate leases.
    • General advisory associated with a large-scale real estate portfolio.
    • Advise executive, senior management, and board on various matters such as legal rights, and new and existing laws.
    • Anticipate issues, mitigate, and/or eliminate risk strategically, and advise accordingly.
    • Manage organizations' legal matters and workflows with internal and external agreements.
    • Provide expert and strategic legal advice.
    • Examine and create draft agreements, such as real estate, leases, amendments, and contractual agreements.
    • Set internal governance policies and manage the impact of external factors.
    • Maintain knowledge of organization operations and legal documents
    • Manage legal research and review the company's litigation strategy on legal actions.
    • Create and communicate directives for corporate acts and decisions.
    • Preserve all corporate records.
    • Oversee statutory filings, such as real estate and licensing documents.
    • Create new entities and manage organizations' intellectual property.
    • Keep abreast of legislative changes.

    Qualifications

    • Juris Doctor in law, admitted as a lawyer in the State of Ohio (essential).
    • Admitted as a notary public (essential).
    • Strong experience in real estate law and industry knowledge that includes litigation, lease transactions, property management, and purchase and sale transactions.
    • Solid experience in title insurance underwriting, curative, and claims.
    • Analytical thinker with strong conceptual and research skills.
    • Natural leader who displays sound judgment and attention to detail.
    • Ability to meet deadlines.
    • Capable networker with excellent interpersonal, communication, and public speaking skills.
    • Proficient with Microsoft Office programs.
