Job Purpose:

Vice Presidents play a key role and are involved in all facets of NES's investment banking activities, originating, structuring, and executing private and public offerings, M&A transactions, and other strategic advisory services for clients across all sectors. NES's investment banking group seeks a Vice President to help lead all aspects of execution of equity and equity linked capital market transactions, including IPOs, follow-on and shelf offerings, and private placements. This will include distribution of securities to institutional investors, and ensuring successful deal completion while maintaining strong client relationships. This position offers a unique opportunity to work on high-profile deals, develop key relationships with clients, and contribute to the growth and success of our investment banking practice with direct client CEO and CFO contact, significant responsibility and opportunity for advancement. The ideal candidate will demonstrate potential to take on a significant role in deal execution by providing day-to-day support to senior bankers and clients, who is also a self-starter and thrives in a fast-paced environment with a collaborative mindset. Duties & Responsibilities:

• Perform and supervise preparation of financial models and business valuations of clients and targets to support the valuation of companies and assist in the pricing of transactions.
• Coordination of various processes, including capital raises and advisory transactions
• Preparation of offering memoranda, proposals and other written materials for meetings with clients
• Perform research and various analyses in support of new business generation
• Participate in and lead marketing and client meetings
• Lead and participate in drafting sessions for underwriting assignments
• Manage due diligence processes by coordinating with legal, accounting, and other advisors to identify and address potential risks and issues.
• Assist in the development and continued cultivation of client relationships
• Identify new business opportunities and develop tailored recommendations for clients
• Build and maintain relationships with corporate issuers, institutional investors and financial sponsors
• Actively participate in the initial assessment of client needs, structuring of equity and equity linked offerings, and developing deal strategy alongside senior bankers
• Create and refine marketing materials, including offering documents and investor presentations to effectively pitch the deal to potential investors
• Build and manage a syndicate of underwriters, allocating shares to each participant based on their investor relationships and market capacity
• Help to determine the pricing of the offering, manage the order book, and oversee the execution process on the trading day
• Act as a primary point of contact for clients throughout the deal process, providing updates on transaction progress and addressing any concerns.
• Identify and mitigate potential risks associated with equity and equity linked transactions, including market volatility & conditions and regulatory compliance

Requirements & Qualifications:

• 6-10 years of experience in Investment Banking, Equity Capital Markets, or relevant group
• Solid understanding of US capital markets
• Proven experience in deal structuring, pricing, and execution
• In-depth knowledge of relevant regulatory requirements
• Must have strong interpersonal skills and be able to communicate effectively in presentations, as well as express complex financial strategies in an organized and articulate manner
• Exceptional written and verbal communication skills and ability to convey ideas
• Strong technical skills including advanced financial modeling, financial analysis and market research
• Strong work ethic, detail orientation and a passion for excellence
• Ability to manage multiple projects simultaneously
• Highly organized, proactive, energetic and decisive, with high level of integrity
• Maturity and poise to comfortably work with business clients and executives directly
• Team player who can contribute to building a positive team spirit, keeps commitments, inspires the trust of others, works with integrity and ethically, and upholds firm values
• Ability to perform under pressure, amid tight deadlines; can effectively prioritize and plan

• Strong time-management and organizational skills to oversee complex transactions and ensure timely execution.
• Requires some flexibility in scheduling, such as the ability to work evenings and weekends to meet client deliverables.
• Series 7, 79 and 63 preferred

Compensation:

• NES offers a competitive compensation and benefits package. Salary range is based on a variety of factors including, but not limited to, location, years of applicable experience, skills, qualifications, licenses and certifications held, and other business and organization needs.
• The current estimated base salary range for this role is $100,000 - $250,000 per year. Actual starting base pay will be determined on skills, experience, and other non-discriminatory factors permitted by law. Total compensation may also include variable incentives, discretionary bonuses, benefits, and/or other perks, as outlined in any formal offer made.
