    Brookfield Properties retail group has an immediate need for an Associate General Counsel – Real Estate at the corporate office in Chicago, IL.

    The company's Legal Real Estate Team seeks an experienced, energetic commercial real estate attorney. This attorney will proactively support broad commercial real estate transactional activities, including capital markets work.

    The Legal Real Estate Team handles a wide variety of complex transactions in-house, partnering with the business teams on all facets of a transaction from the letter of intent stage through the closing.

    Structure, draft, negotiate, review, manage and close (as applicable):

    sophisticated transactions for individual and multi-property / portfolio acquisitions and dispositions coordinate all aspects of the transaction and closing process, including drafting and negotiation of brokerage agreements, confidentiality agreements, letters of intent, access agreements, purchase and sale agreements, as well as conducting due diligence and responding to requests, monitoring contingencies, reviewing title and preparing title objections, conducting survey review, clearing title and survey matters, and preparing closing documents.

    complex real estate finance transactions through closing (including individual and portfolio mortgage loans, CMBS loans, construction loans, mezzanine loans, corporate facilities, and loan servicing matters) – coordinate all aspects of transaction, closing and securitization (if applicable) processes, including drafting and negotiating loan agreements, guaranties, cash management agreements, ancillary loan documents, legal opinions, deeds-in-lieu of foreclosure and other workout/modification documentation.

    transactions and documentation relating to anchor store and big box development, including retail, multi-family and office leases, ground leases, sales, acquisitions, land swaps, entitlement procurement, subdivisions, reciprocal easement agreements, declarations of covenants and conditions, development agreements, annexation agreements, municipal finance and incentive agreements, supplemental agreements, easement and license agreements and an array of other development related agreements.

    Conduct research of rights, obligations and restrictions contained in existing leases, reciprocal easement agreements and other complex property agreements, and provide both technical and practical analysis and recommendations to internal business partners concerning legal issues, including preparation of documentation necessary to secure third party approvals.

    D. from a leading law school, with proven academic success.

    A minimum of 5 years of relevant transactional and commercial real estate experience with a law firm and/or corporation (retail real estate experience a plus).

    Proven ability to independently, and on a "first-chair" basis, structure, draft, negotiate, manage and close sophisticated real estate acquisition/disposition, development and financing transactions.
