    Stradling Yocca Carlson & Rauth is a leading business law firm with more than 110 lawyers providing experienced counsel in critical transactions and disputes from 12 offices across California, Colorado, Nevada, Texas and Washington.

    We are looking for a paralegal/assistant to join our nationally ranked public finance team.

    Overall Purpose :

    Participate as a team member and assist multiple attorneys in various public finance matters by providing a supportive role in the work required. Assist in drafting and organizing various documents related to public finance transactions, including bond financing transactions, such as preparing drafts of preliminary election proceedings and improvement district proceedings; drafting closing certificates and opinions; compiling and assembling closing transcripts; and drafting and processing general obligation bond transactions. Public Law Assistant/Paralegals are also responsible for various administrative and support roles such as managing databases and assisting with the preparation of proposals.

    Responsibilities include but are not limited to:

  • Assist in drafting and reviewing routine legal documents in Microsoft Word.
  • Draft closing documents from start to finish, including resolutions, form filings, research and statistics compilation, and closing certificates and opinions.
  • Manage the copying, uploading, and distribution of draft and final executed documents to interested parties, by Outlook E-mail, Firmex virtual document room, and/or Federal Express, as appropriate.
  • Act as liaison with the client and any outside entities such as government agencies, corporations, vendors and other law firms to facilitate the transaction.
  • Conduct final page-checking of final documents and final document transcripts.
  • Draft closing checklists.
  • Assist in closings by preparing, collecting from various transaction participants, and assembling closing files, DTC letters, final resolutions and opinions, good-standing certificates, and secretary of state filings, and managing or facilitating the pre-closings and closings.
  • Prepare and distribute the closing transcripts to interested parties and transaction participants, including uploading closing transcript to virtual document room, preparing paper copies, and/or copying to disc or thumb drive, as appropriate.
  • Review executed documents to ensure proper execution.
  • Follow up with client and other parties to the transaction to ensure delivery of complete documentation required for closing binders.
  • Keep time records in Elite 3E of all billable time worked.
  • Perform other related duties as assigned.
  • CORPORATE WORK:

  • Create/establish and maintain corporate documents for various client financing (non-profit) corporations.
  • File annual tax returns for financing corporations.
  • Maintain corporate records for financing corporations.
  • LEGAL ASSISTANT DUTIES:

  • Revise and proofread documents with high accuracy.
  • Convert documents from various formats to Word, Excel, or PowerPoint and format according to the firm's standard format.
  • Modify, compile, and redact PDFs.
  • Download, organize and print data room documents.
  • Make travel arrangements for attorneys, coordinate conference activities, organize firm events.
  • Open files for new clients and new matters, including submittal of required forms and confirming billing arrangements.
  • Qualifications/Requirements:

  • At least 3-5 years law firm experience as a paralegal.
  • BA/BS degree and Paralegal Certification highly preferred.
  • Strong desire to work in a team environment without supervision.
  • High level of professionalism and interpersonal skills so as to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence.
  • Ability to handle multiple tasks and to remain calm under pressure.
  • Ability to perform repetitive tasks and work at a desk (sit/stand desk available)for long periods of time.
  • Excellent oral and written communication skills.
  • Attention to detail, ability to balance multiple projects and strong time management skills.
  • Ability to process routine daily functions while being able to resolve sensitive issues and complex assignments utilizing above average critical thinking skills.
  • Must be able to work overtime if necessary.
  • Strong proficiency in Microsoft Office Programs (Word, Excel and PowerPoint).
  • Ability to learn additional programs and processes, such as Firmex virtual document room.
  • Physical Demand :

    Ability to lift up to 10 pounds. Ability to stand at a photocopy machine to scan and copy documents for up to 1-2 hours a week.

    The salary wage range that we expect to pay for this position is from $65,000 - $75,000 and represents our good faith and reasonable estimate of the range of base salary at the time of posting. The actual salary offered may vary based on experience, qualifications or other relevant factors.
