    As a result of its continued growth, Marmon is now seeking to add an experienced commercial generalist with strong organizational and analytical skills and keen business acumen to join its client-focused law department as Associate General Counsel ("AGC") for its Marmon Medical group.

    Marmon Medical is a global, growth-oriented organization that currently includes five companies that design and manufacture specialty medical devices worldwide with annual combined revenues of more than $500M. These companies - Acumed, MicroAire Surgical Instruments, Precision Edge Surgical Products, Apex and ScottCare - offer technology and products used to help improve patient care and outcomes. They provide highly engineered implants such as plates and screws, and related precision tools, primarily for orthopedic surgery of the upper and lower extremities. Together, they employ more than 1,300 people at locations in the U.S., China, the U.K., Spain, and Germany.

    The AGC will report to the General Counsel of Marmon Medical and will help lead all commercial legal activities (including contracts, M&A, regulatory, compliance, employment and intellectual property matters) on behalf of all Marmon Medical The AGC-Medical will be an experienced, sophisticated commercial lawyer with keen negotiating skills and strong business acumen who will collaborate with management and the businesses. Specific legal experience in the medical device industry is preferred, with strong understanding of compliance and regulations governing the industry. This hybrid position will work in one of Marmon's Chicagoland offices (typically ~2 days per week), as well as work from home and travel as required.

    What You'll Do

    The AGC will be responsible for providing legal advice and counsel on a variety of commercial as well as global compliance matters and specifically will be required to:

    • Advise management on sophisticated global commercial issues and transactions in the global marketplace, including counseling and guidance on appropriate risk allocation for strategic and core business transactions
    • Support key M&A deals and strategic collaborations that directly impact the success of the organization
    • Work with Marmon Medical's Compliance Officer to advise businesses with respect to the laws and regulations related to medical device manufacturing, sales, and distribution
    • Assist Marmon Medical's Compliance Officer in monitoring, evaluating, and interpreting all applicable regulatory requirements, and assure compliance with FDA and foreign regulatory authorities' and the company's standards
    • Conduct legal analysis and provide counsel on laws, rules, regulations, and policies related to business operations in the U.S. and globally, while consistently guarding against and providing timely evaluation of potential risks in contractual, regulatory, compliance, and other legal areas
    • Draft, review, and negotiate various types of agreements
    • Engage with external counsel as well as group and business unit stakeholders regarding material commercial contract reviews and negotiations; provide guidance to leadership regarding same
    • Assist in managing litigation and legal claims
    • Provide analysis and counsel on various other substantive legal issues as they arise, including but not limited to employment law, intellectual property, competition law, and risk management
    • Cost-effectively manage outside counsel, to include negotiating fixed fee and alternate fee arrangements with outside law firms, using technology to aid in reporting, and streamlining more routine processes and procedures such as e-billing, budget management, case management, knowledge management, and litigation reporting
    • Collaborate with Marmon's Chief Compliance Officer, Marmon Medical's General Counsel, management, and the business units to ensure compliance with Marmon's ethics and compliance policies, including Prohibited Business Practices Policy and Code of Conduct; Invention, Confidentiality, Communications, IT and Respectful Workplace Policy; Intermediary Vetting Policy; Compliance with Trade Laws Policy; and Data Privacy and Joint Controller Policy
    • Assist business units in complying with ESG initiatives, such as greenhouse gas emissions tracking
    • Support the business units in promoting Marmon's Supplier Code of Conduct and oversee related vendor assessments related to the risk of unethical conduct such as forced labor and human trafficking
    • Contribute to the Marmon Legal team's long-term planning efforts to improve, streamline, and strengthen stakeholder experience

    What You'll Bring to the Role
    • J.D. from an accredited law school, with proven academic success.
    • At least 10 years of broad global commercial law experience developing strategies for and negotiating sophisticated multinational agreements
    • Strong knowledge of laws and regulations related to medical device manufacturing, sales, and distribution
    • By virtue of interpersonal skill and presence as well as listening acuity, possess the ability to influence outcomes and manage ever-increasing transactional complexity, while providing client counseling of the highest quality; experience with global business transactions is desired, as is familiarity with substantive issues relating to manufacturing
    • Proven ability to effectively lead a cross-functional team and drive sophisticated global transactions and initiatives to completion in a fast-paced and entrepreneurial setting
    • Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style
    • Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility
    • Strong written and communication skills, including the ability to clearly and concisely articulate complex legal concepts and risk assessments to a lay audience
    • Ability to thoughtfully contribute and become a trusted member of Marmon's growing Legal team, to include collaborating with an experienced group of attorneys, paralegals, and other professionals in order provide Marmon stakeholders with world-class legal counsel that upholds Marmon values, supports sustainable operating income growth, mitigates risk, and maximizes strategic outcomes
    • Proven success in effectively managing and completing multiple tasks and priorities
    • License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois.
