    Basic Function

    HF Sinclair in Dallas, Texas is looking for a Corporate Counsel - IT. The role involves handling and providing expertise to the company, especially on technology transactions and related matters.

    Job Duties

    ESSENTIAL JOB DUTIES/RESPONSIBILITIES: (functions considered essential as defined by ADA)

    • Draft, review, and negotiate contract terms and conditions in IT transactions, including SaaS, IaaS, and PaaS license agreements, telecom services, and other related goods and services in collaboration with the Company's IT and Procurement teams;
    • Manage a large volume of complex contracts independently with limited oversight;
    • Collaborate effectively with various teams throughout the Company, advising on strategy and approach for addressing contract modifications with supplier counsel and procurement teams;
    • Communicate with internal stakeholders at various levels within the Company;
    • Work on enhancing legal review processes, contract lifecycle management, and engagement with stakeholders;

      • Special assignments or tasks assigned by the supervisor as necessary.

      Experience

      Minimum of 4 - 8 years of post-JD experience, preferably with a law firm and in-house, focusing on drafting and negotiating contracts for software and hardware systems, including Cloud-based systems (IAAS, SAAS, PAAS).

      Education Level

      A Jurisprudence Doctorate Degree from an American Bar Association accredited law school is required.

      Required Skills

      Self-motivated, organized team player who excels in a fast-paced environment. Strong legal drafting and analytical skills, organizational skills, and communication abilities are necessary. State bar admission or eligibility to waive into the State Bar of Texas is preferred.

      Supervisory/Managerial Responsibility

      Must be able to supervise paralegals and outside counsel effectively.

      Work Conditions

      Office Based with occasional travel.

      Physical Requirements

      Job conditions involve various physical activities and may require the use of personal protective equipment.
