    JOB DESCRIPTION:

    Loftware is seeking a full-time, highly motivated, detail-oriented Corporate Paralegal to join our expanding global legal department headquartered in Portsmouth, NH. The ideal candidate will have 3–5 years of experience in corporate law or in-house experience, excellent organizational skills, and be a business-minded person looking for the opportunity to contribute to the continued success of the Loftware family.

    The ideal candidate will have experience with corporate entity record keeping and filings, corporate governance and compliance, as well as with commercial contracts (such as non-disclosure agreements, vendor contracts, and (preferably) software agreements) and contracting processes. This is a dynamic role with room for growth where additional projects, responsibilities, and duties are expected to arise, so organization, analytical and communication talents are key.

    Reporting to the General Counsel, the Corporate Paralegal will be a valued contributing member of Loftware's Legal and Compliance Team and will partner closely with our global Finance, Sales, Services and other operational personnel to provide legal and commercial assistance with respect to corporate matters and commercial contracts (customer, vendor, strategic alliance, channel partners, resellers).     RESPONSIBILITIES:

    • Support corporate governance efforts for 20+ Loftware entities, including: (i) prepare, file and manage corporate filings; (ii) draft agendas, resolutions, and minutes for subsidiary meetings; and (iii) draft corporate materials, powers of attorney, intercompany agreements, and other corporate documents, – all in consultation with the General Counsel.
    • Manage registered agent services and filings for 20+ Loftware subsidiaries.
    • Provide support for various subsidiary integration and wind-up initiatives as well as mergers and acquisitions.
    • Serve as the primary point of contact for the broader Legal team with respect to corporate information and documentation, ultimate beneficial owner/ultimate parent company designations, as well as signatory and corporate policy questions.
    • Lead the reorganization and alignment of our corporate files and other internal corporate folders. Support maintaining internal control and safeguards for legal documents and other compliance considerations.
    • Support various compliance initiatives, including Loftware's related corporate policies, processes and initiatives.
    • Lead the creation of a compliance calendar for global corporate governance to document and track compliance deadlines.
    • Manage the review of initial commercial contract review requests, aligning the requests to the appropriate Legal team member and supporting them as necessary.
    • Record Keeping and Documentation: Maintain organized and up-to-date legal files and documentation. Assist in document retrieval and production in response to legal requests.
    • General Support: Work closely with the Legal team, other departments, and external partners to facilitate effective communication, scheduling, cooperation, and partnership.
    • Assist with or lead ad hoc and special projects, as requested.

    WHAT YOU'LL NEED:

    • 3–5 years legal experience in a large law firm or in-house (preferably software/SaaS solution provider).
    • Demonstrated experience managing processes and coordinating cross functional projects while meeting established deadlines.
    • Experience filing annual reports with applicable Secretary of State offices.
    • Excellent business judgment and strategic thinking. Ability to be high level and strategic yet contribute regularly at a detailed level as necessary.
    • Hard working, well organized and able to independently and proactively manage and complete numerous projects simultaneously under competing time sensitivities.
    • Possess a strong attention to detail, operate effortlessly in a highly dynamic environment and leverage cross-functional working skills to move with agility.
    • Excellent interpersonal skills, dynamic and highly team-oriented; demonstrated ability to form strong working relationships with demanding internal clients while maintaining firm adherence to proper legal standards.
    • Must thrive in a rapid-paced and dynamic business environment.
    • Experience with compliance matters a plus.
    • Superior English language writing and oral communication skills.
    • Sense of humor and commitment to professionalism and collegiality.
