The Corporate Counsel will play a crucial role in advising and guiding of The CAR Group on various legal matters to ensure compliance with laws and regulations, minimize legal risks, and support the overall success of the business. This individual will report directly to the company's General Counsel, but will work closely with internal stakeholders, management, and external partners to provide legal expertise across a broad spectrum of issues related to the automotive industry.

Key Responsibilities:

• Commercial contract review and drafting: Draft, review, and negotiate a variety of commercial contracts, including but not limited to vendor agreements and SaaS agreements.
• Compliance and Regulatory Affairs: Maintain up-to-date knowledge of relevant laws and regulations affecting the automotive industry and ensure the dealerships' compliance with those laws and regulations. Develop and implement policies and procedures to mitigate legal risks. Respond to lemon law tenders, subpoena requests, and OEM document requests.
• Litigation Management: Manage and coordinate legal proceedings, including working with external counsel, when necessary. Provide advice on potential disputes and assist in the resolution of legal matters.
• Risk Management: Identify and assess legal risks associated with business operations and provide strategic advice on risk mitigation. Develop and implement risk management strategies and policies.
• Employment Matters: Provide guidance on employment law matters, including hiring, terminations, discrimination, and harassment issues. Collaborate with HR to ensure compliance with employment and labor laws.
• Corporate Governance: Assist in ensuring corporate records stay in compliance and up to date; take corporate minutes as necessary and oversee routine filings required for entity maintenance.
• Advertising Reviews: Understanding of FTC laws; assist and support in legal advertising reviews.

Qualifications:

• J.D. from an accredited law school
• Active membership in good standing with the state bar
• 3-5 years legal experience, particularly with regards to experience in the areas outlined above
• Prior experience in the automotive industry strongly preferred
