    Job Summary

    This is a great opportunity to join Textron as an Assistant General Counsel.

    The Assistant General Counsel - Compliance is a member of Textron's Ethics & Compliance Team located at its global headquarters in Providence, Rhode Island.


    This position serves as Textron's anti-corruption, anti-money laundering, conflict of interest, human trafficking, forced labor and child labor subject matter expert.

    The Assistant General Counsel also conducts investigations and is engaged in other compliance activities. This is a high-visibility role in the organization.

    Responsibilities

    Plan and implement the policies and processes used to manage enterprise risk in the areas of subject matter expertise.

    Conduct risk and program assessments across the Textron global enterprise and implement new processes and procedures to fill identified compliance gaps.

    Train, supervise and provide guidance to Textron's Global Anti-Corruption Compliance team and provide subject matter expertise support and guidance to Business Unit compliance teams.

    Develop and deliver training on various topics for Corporate and Business Unit personnel, with special emphasis on the Global Anti-Corruption Compliance Policy and the third-party due diligence process.

    Lead Textron's Global Anti-Corruption Compliance Working Group and provide regular updates on enforcement trends and best practices to the Working Group.

    Coordinate and supervise the due diligence vetting of all third-party intermediaries and review, draft and negotiate agreement with Textron intermediaries.

    Conduct anti-corruption due diligence activities in connection with M&A transactions and integrate acquired businesses into Textron's Ethics & Compliance Program.

    Assist Textron businesses in addressing any corrective actions required in response to internal audit findings.
    Provide guidance to the Textron Corporate offices worldwide on a variety of matters including gifts, meals, entertainment, and hospitality.
    Review and approve requests to provide gifts, hospitality, travel, charitable contributions, and sponsorships as required by Textron policy.
    Investigate suspected policy violations as directed by the Executive Counsel and perform in-depth root cause analyses and training.
    Manage, negotiate, and contract with compliance vendors.
    Supervise and direct outside counsel.
    Develop proficiency in, and conduct training on, all compliance software platforms.
    Seek continuous improvement opportunities.

    Protect and maintain the privacy of employee personnel and third-party intermediary records including, but not limited to, personal and compensation information about employees.

    Perform other duties and special projects, as assigned.

    Education/Experience

    Law degree from an accredited institution.
    Admission in good standing to a State bar.
    Corporate or law firm experience as an attorney working in a compliance function with an anti-corruption focus, preferred.
