    ABOUT THIS POSITION
    We are seeking an experienced attorney to join the Inspire law department. We are building a trusting and collaborative culture where we value excellence, professionalism, growth and development. We engage proactively with our business partners to deliver business-relevant legal advice and solutions.

    Reporting to the Company's General Counsel, the Associate General Counsel, Corporate will be the lead advisor on a broad range of general corporate matters, including securities law and '34 Act compliance and reporting, strategic transactions, employment matters, corporate governance, and environmental, social and governance (ESG) matters.


    OPPORTUNITIES YOU WILL HAVE IN THIS ROLE
    Specific responsibilities of the Associate General Counsel, Corporate will include:


    Advise on securities compliance, including preparation and review of SEC filings (i.e., Forms 10-K, 10-Q and 8-K, proxy statements) and NYSE listing compliance matters.

    Review and advise on public company communications and disclosures, including earnings announcements, press releases, investor presentations, investor communications, the corporate website and other materials.

    Oversee Section 16 filings, administration of 10b5-1 plans and trading windows.

    Assist with the preparation of Board and committee agendas and materials, prepare resolutions and minutes of the company's Board of Directors and its committees, oversee new director onboarding and advise with respect to corporate governance best practices.

    Serve as lead attorney responsible for overseeing the company's environmental, social and governance (ESG) program, including overseeing a cross-functional team and preparation and review of the company's ESG reports and related disclosures.

    Provide legal support related to executive, director, and equity compensation plans, including advice related to proxy advisory firm and institutional shareholder policies.

    Review and update corporate governance documents, policies and practices, including Articles of Incorporation, Bylaws and Corporate Governance Guidelines.
    Advise on a variety of strategic business transactions, including mergers, acquisitions and divestitures.

    Stay abreast of emerging trends and developments in securities law, corporate law and governance, and coordinating internal and external resources to provide education and training.

    Manage U.S. domestic and foreign outside counsel with respect to general corporate matters.

    Required Qualifications

    JD degree with strong academic credentials from an accredited law school.
    8+ years of legal experience; medical technology industry and corporate legal department is desired.
    Experience managing domestic and international outside counsel.
    Excellent organizational, project management, analytical, and problem-solving skills with attention to detail.
    Extremely strong written and oral communication skills with a persistent eye toward problem-solving.
    Adept at operating in a fast-paced, dynamic work environment, and managing competing priorities under demanding deadlines.

    Proven ability to work cross functionally and with upper management to achieve regulatory and compliance objectives with support from internal business partners.

    Demonstrated ability to quickly learn and excel in new or emerging areas.
    Admission to a State Bar in good standing.
