Job Overview
We are currently looking for a Manager - Corporate Development & Credit (Treasury) to join our team onsite in Holland, MI.
Manage acquisition and other corporate development projects as assigned including responsibility for developing preliminary valuations, target research, due diligence oversight, transaction document preparation, and post transaction implementation.
Provides comprehensive analysis to support assessment and valuation of new business opportunities. Identifies innovative assessment strategies and frameworks to build corporate development recommendations.Oversees credit procedures/policies for North America through development and administration of credit management programs. Serves as key point of contact with customer/dealer community to resolve critical credit issues that arise. Maintains favorable rapport with customers/dealers to balance credit loss prevention with sales activities.
Also responsible for activities of Haworth Financial Services ("HFS") through collaborative dealer engagements, applied financial analysis, and loan portfolio administration.
Do you have these required qualifications?Bachelor's degree in finance, accounting or equivalent.
Ten years experience with progressively expanding duties in finance, acquisition & transaction management, valuation, banking, accounting, credit and/or corporate finance.
Current and continuing right to work in the United States without sponsorship.Ability to work in Holland, MI without relocation assistance.
Do you have these preferred qualifications?
Master's degree in Business Administration (MBA).
Prior experience managing M&A transactions or investment banking background.
Experience in credit, lending, or commercial banking background.
Job Responsibilities
To include the following but are not limited to:
M&A
Supports identification, research, and strategic/financial/product analysis of business development opportunities (i.e., acquisitions, mergers, joint ventures) to support corporation's global strategies and growth objectives.
Utilizes applied valuation methods and other financial and accounting techniques to determine firm value and develop pro-forma financial forecasts.Plan, assemble team, and lead the due diligence review process for acquisition and business development projects, ensuring compliance with legal requirements.
Coordinates preparation of legal documents as required to support transactions.Leads in the creation of transaction synergies in partnership with cross functional product and operational teams to ensure areas of synergy are identified and tracked for execution post transaction.
Credit / HFSFormulates sound and constructive policies and procedures and applies adequate controls to measure and regulate credit administration and collections with the goal of maximizing overall profitability of the Company.
Manages activities of Credit team ensuring all extensions of credit are granted in accordance with established credit procedures; collections minimize Days Sales Outstanding (DSO), reduce delinquency, and control bad debt losses; disputes and deductions are resolved expeditiously; and security arrangements are made for orders in excess of risk tolerances.
Interacts with customer/dealer principals to manage and attempt to resolve credit situations that arise; manages all activities related to accounts placed for collection, in suit, or involved in bankruptcy proceedings to protect Haworth's interests and maximize bad debt recovery.
Performs ongoing analysis in terms of financial performance and covenant compliance for HFS borrowers to monitor changes in corporation's portfolio risk.
Recommends strategies to mitigate or minimize risk of loss to Haworth.Leads quarterly HFS Executive Committee review process to ensure review of existing portfolio; recommends actions to Committee and follows through on decisions of Committee.
Ideally, you have also demonstrated the following:Advanced analytical, valuation and financial modeling skills required.
Ability to understand, evaluate and negotiate acquisition & transaction related legal documents preferred.
Background in coordinating and conducting transaction related due diligence exercises and/or ability to project manage broad teams from varying functional groups.
Strong accounting, analysis, problem-solving, and data-gathering skills.Strong leadership, organizational, and collaboration skills.
Ability to work under minimal supervision.
Excellent communication, both written and verbal, skills.
PC and keyboard/mouse skills required.
Substantial experience working with Excel and PowerPoint.
Ability to travel overnight away from corporate offices, including internationally, up to around 25percent of time.
