    We are looking for a special kind of B2B commercial lawyer to be a founding member of our legal team as a Deputy or Associate General Counsel (depending on years of experience).

    You will be responsible for building out and leading the companys commercial legal function, and for managing and overseeing both inbound and outbound contract negotiations and drafting (such as critical supply chain contracts and day-to-day vendor contracts, as well as reseller contracts and end user agreements).

    Ideally, we are also looking for a lawyer with wide experience in government procurement processes and regulations, plus familiarity with how B2B deals work in a channel sales model and how privacy and data protection issues show up in commercial transactions.

    What Youll Be Expected To Do

    Build and then lead Verkadas commercial counsel team
    Advise Verkadas leadership, sales teams, and marketing teams on business, product, and contract related matters, including deal flow, contractual obligations, go-to-market strategies, sales enablement, channel relationships, and revenue generation
    Negotiate and draft a wide variety of technology-related B2B commercial agreements (including multi-jurisdictional transactions, hardware and software sales and licensing, and distribution agreements), as well as a variety of vendor contracts
    Think on your feet to negotiate and draft contracts quickly and practically in order to facilitate fast closure of end customer deals
    Be excited to develop and maintain in-depth working knowledge of Verkada products
    Be comfortable taking risks while still managing a reasonable compliance posture
    Build relationships with people and leaders across the organization
    Develop systems to automate and bring efficiency to the contract review process in order to scale the work and team over time
    Be ready to roll up your sleeves and wear multiple hats to help the company grow

    What You'll Need

    10+ years of relevant legal experience (preferably with at least 4 years of in-house counsel experience at a technology company)
    Strong experience building and leading teams of lawyers
    Strong experience advising business leadership on product, contract, and sales related matters
    Deep experience negotiating and drafting B2B software and hardware commercial contracts and license agreements, as well as a wide variety of vendor contracts and other types of commercial agreements
    Strong knowledge of data privacy regulations such as GDPR, CCPA, etc.
    Experience with government procurement processes and regulations
    Experience working with contract lifecycle management (CLM) platforms, such as IronClad, and Google Workspace
    Ability to work independently but also collaborate effectively with a team
    Excellent legal and business judgment with the ability to provide practical, concise advice
    Proven ability to manage multiple projects, prioritize and meet deadlines
    Excellent verbal and written communication skills with a high degree of attention to detail
