    Growing, global manufacturer is seeking a Corporate Paralegal/Legal Assistant to work in downtown Chicago supporting 3 Attorneys in a casual environment; in office 3 days; work from home 2 days. Seeking 2-3 years of experience.

    Position Description

    This position works with the legal team across a broad range of legal initiatives, including corporate governance, SEC and other regulatory compliance, contract administration, litigation, labor and employment and other corporate matters. This position will interact with all functions of the Company's business, international and domestic.

    Qualifications

    • Undergraduate degree
    • Paralegal certificate
    • Experience working with corporate documents such as articles of incorporation, bylaws, minutes, stock certificates, resolutions, powers of attorney, etc.
    • Proficiency in Word, Excel and PowerPoint (experience with Workiva and SimpleLegal a plus)
    • Excellent judgment and ability to execute and deliver in a rapid, fast-paced business environment
    • Strong attention to detail and organizational skills, including management of projects and workload and setting goals and priorities

    Responsibilities

    • Prepare and/or assist in preparation of SEC filings (8-Ks, Section 16 filings, etc.) under attorney supervision
    • Maintain and manage all corporate documents and entity information for all corporate subsidiaries (foreign and domestic)
    • Maintain records of equity programs and grants for directors and company executives
    • Draft, review, and revise contracts and other legal documents under attorney supervision
    • Support attorneys on M&A deals and other projects
    • Maintain litigation database and calendar; work with internal attorneys and outside counsel on litigation and employment related matters
    • Coordinate quarterly law firm audit letters
    • Manage legal department invoices, budget and E-billing system.
    • Maintain minute books and other corporate records
    • Assist with maintenance and preparation of real estate documentation
    • Assist with drafting intercompany subsidiary contracts, intercompany notes, intercompany bills of transfers, and other legal documents
    • Upload universe of existing active contracts in legal department into Contract Safe data base, filling in correct fields for legal terms
    • After initial upload of contracts, serve as go-to for adding new executed contracts and pulling contracts as needed for legal review
    • Work with procurement to complete vendor-requested revisions to terms and conditions and nondisclosure agreements
