Position Description:
Corporate Counsel will be responsible for legal oversight of commercial transactions, focusing on contract negotiations, drafting, and dispute resolution within all business groups. There is an emphasis on commercial agreements, purchase orders, teaming and confidentiality agreements, equipment purchase agreements, and engineering and construction contracts related to large, complex construction projects. Significant experience preparing and litigating government (federal, state, and local) construction claims is strongly preferred.
Position Qualifications:
- Undergraduate degree from a respected university in any discipline and a juris doctorate degree from an ABA-accredited law school.
- Must be licensed or otherwise authorized to practice law in Colorado, with a minimum of five years of construction litigation experience.
- Valid Driver's License required.
- Must be able to identify business and compliance strengths, weaknesses, threats, risks, and opportunities quickly and accurately, and develop appropriate plans for action.
- Must be able to understand, interpret, and advise regarding complex insurance policies, surety bonds, and related issues.
- Anticipates and plans for changes in internal and/or external operating conditions and business needs.
- Must have the ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems. Strong logical reasoning required.
- Ability to deal with a variety of abstract and concrete variables while also being able to read, analyze, and interpret complex documents.
- Possess a strong understanding and sense of confidentiality to be able to respond effectively to the most sensitive inquiries or complaints.
- Must be a recognized expert in the areas assigned while possessing a broad knowledge of a wide range of other business areas.
- Ability to prioritize tasks when faced with multiple deadlines.
- Excellent organizational skills and attention to detail.
- Strong writing, editing, and verbal communication skills.
- Advanced user of Microsoft Office Suite (Word, PowerPoint, Excel & Outlook).
Essential Duties:
- Provide general legal advice and representation to all business groups on a wide variety of complex legal issues and disputes.
- In conjunction with Legal and Senior Operations management, manages and directs all aspects of Company litigation, including general litigation and strategy advice, contract interpretation, risk and litigation cost assessments, settlement activities, and outside counsel.
- Manages discovery process for all litigation matters, including distribution of appropriate document holds, document production, e-discovery, etc.
- Develop and deliver appropriate training and materials to various business groups. Requires in-depth knowledge of relevant business processes and operations to ensure that the Company's interests are adequately protected in commercial transactions.
- In conjunction with Regional and Project management, identifies and resolves unique and complex issues that arise during the contracting process and project execution that requires innovative thinking and creative solutions.
- Supports and assists with all areas of the Company's compliance programs. This includes leading investigations, fact-finding, and other investigatory needs in connection with situations that arise under the Company's compliance programs. Also, responsible for ensuring all documents, policies, templates, and processes related to compliance are current and accurately maintained.
- Provides legal advice and support related to labor and employment matters through cross-functional collaboration with executive management, the human resources director, regional managers, frontline managers, and employees.
Physical Work Classification & Demands:
• Light Work. Exerting up to 25 pounds of force occasionally, and/or up to 10 pounds of force frequently, and/or a negligible amount of force constantly to move objects.
• The individual in this position will periodically walk, kneel, sit, crouch, reach, stoop, read/see, speak, push, pull, lift, stand, and finger/type. The frequency of each action varies by workflow and office activity.
• Walking - The person in this position needs to occasionally move about inside the office to access file cabinets, office machinery, boxes, cabinets, etc.
• Constantly operates a computer and other office machinery, such as a calculator, copy machine, phone, computer, and computer printer.
• The person in this position frequently communicates with employees and external stakeholders regarding a variety of topics related to office administration.
• Constantly computes, analyzes, and conceptualizes mathematical calculations and formulas.
• Constantly reads written communications and views email submissions.
• The person in this position regularly sits in a stationary position in front of a computer screen.
• Visual acuity and ability to operate a vehicle as certified and appropriate.
• Rarely exposed to high and low temperatures
• Rarely exposed to noisy environments and outdoor elements such as precipitation and wind.

Compensation Range (Colorado Only)
Base Salary Range: $130, $160,000.00, Annually
Additional Compensation and Benefits:
- Eligible for phone allowance (up to $900 annually)
- Eligible for car allowance (up to $700 monthly)
- 401K retiremnt plan (up to 15% of base salary)
Potential total Rewards ($158,880 - $193,300 )
Benefits
Hensel Phelps provides generous benefits for our salaried employees. This position is eligible for company-paid medical insurance, life insurance, accidental death & dismemberment, long-term disability, 401(K) retirement plan, health savings account (HSA) (HSA not available in Hawaii), and our employee assistance program (EAP). It is eligible for employee-paid enrollment in vision and dental insurance. Hensel Phelps also believes in the importance of taking time to recharge. As a result, salaried employees are eligible for paid time off beginning upon hire. Salaried positions (project engineers and above) participate in an annual bonus plan, subject to company and employee performance. Salaried employees (this is all salaried employees) are also eligible for a company cell phone or cell phone allowance in accordance with company policy. Further, salaried employees (project engineers and above) also receive either a vehicle or vehicle allowance in accordance with Hensel Phelps' policies. Based on position location, a cost-of-living adjustment (COLA) may also be included (subject to periodic review and adjustment).
