- Advise on legal aspects of technology transactions, including mergers and acquisitions (M&A), strategic equity investments, and venture transactions.
- Provide counsel on privacy compliance and data protection laws, ensuring adherence to regulatory requirements.
- Draft and negotiate agreements for technology-related transactions, including SaaS agreements and data provider agreements.
- Conduct due diligence reviews for M&A transactions, with a focus on identifying privacy and data-related risks and opportunities.
- Offer general corporate advice, including corporate governance matters, to clients in the technology and data industries.
- Collaborate with cross-functional teams, including business development, finance, and compliance, to support corporate initiatives and strategic goals.
- Stay abreast of developments in technology, privacy, and data protection laws and regulations to provide proactive legal guidance.
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the state bar and in good standing. Licensed in NY or NJ.
- Minimum of 6 years of experience as a corporate attorney, with a focus on M&A transactions representing strategic and private equity clients, preferably in the technology sector.
- Strong understanding of privacy laws and regulations, including GDPR, CCPA, and other relevant data protection laws.
- Experience advising technology and data companies on legal matters, with a demonstrated understanding of industry-specific issues and challenges.
- Proven track record in negotiating and drafting complex commercial agreements, including SaaS agreements and data provider agreements.
- Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities and deadlines effectively.
- Excellent communication and interpersonal skills, with the ability to communicate complex legal concepts to non-legal stakeholders effectively.
