    Description

    Firm Advice has a great opportunity for an experienced Intellectual Property Attorney to join an international, household name conglomerate with this temp / contract / interim to possible hire opportunity. Reporting to the General Counsel, you will be responsible for a wide range of IP related matters, including revising IP related clauses in commercial contracts, software licensing agreements, and counseling and training of employees regarding IP-related issues.

    RESPONSIBILITIES

    • Review or draft agreements implicating intellectual property rights, including technology, joint development, confidentiality, SOW, service agreements, and EULA's.
    • Support compliance with U.S. export licensing and requirements, including counseling engineers and management on intellectual property related matters.
    • Prepare and implement procedures related to intellectual property, such as copyright policy and Open Source Software use policy.
    • Manage OSS compliance program and employee training.
    • Provide IP litigation support.
    • Keep legal and business teams abreast of developments in IP, including laws/regulations, government investigations, and best practices.

    REQUIREMENTS

    • JD and in good standing in a State Bar.
    • 5 plus years of relevant experience, including drafting and reviewing IP agreements, software development agreements, software licenses, end user license agreements, and open-source licenses.
    • Experience reviewing IP-related clauses, such as indemnity, in commercial contracts.
    • Experience managing open-source software development and compliance programs, including license terms, drafting disclosure statements, and conducting employee training.
    • Experience in trademark and copyright law, including clearance, registration and counseling related to trademarks; and anti-counterfeiting and domain name registration and dispute, a plus.
