    Description

    EpsteinSchwartz has an exciting opportunity for a strong real estate attorney. Our client, a dynamic and entrepreneurial real estate investment firm with a national presence, is hiring an Associate General Counsel with at least five years of commercial real estate experience to join its experienced and energetic team. Attorneys in this group will support commercial real estate and transactional matters while partnering closely with internal business teams.

    Associate General Counsel Responsibilities

    • Structure, draft, negotiate, review and close transactions for individual and multi-property / portfolio acquisitions and dispositions, including drafting all primary and ancillary deal documents, as well as conducting due diligence, monitoring contingencies, reviewing title and preparing title objections, conducting survey review, and clearing title and survey matters;
    • Structure, draft, negotiate and close complex real estate finance transactions (including individual and portfolio mortgage loans, CMBS loans, construction loans, mezzanine loans, corporate facilities, and loan servicing matters), including drafting and negotiating primary and ancillary loan documents, legal opinions, deeds-in-lieu of foreclosure and other workout/modification documentation;
    • Structure, draft, negotiate, and close transactions and documentation relating to anchor store and big box development, including handling retail, multi-family and office leases, ground leases, sales, acquisitions, land swaps, entitlement procurement, subdivisions, reciprocal easement agreements, declarations of covenants and conditions, development agreements, annexation agreements, municipal finance and incentive agreements, and an array of other development-related agreements; and
    • Research rights, obligations and restrictions contained in existing leases, reciprocal easement agreements and other complex property agreements, providing technical and practical analysis and recommendations to internal business partners.

    Associate General Counsel Qualifications

    • 5 8 years of relevant commercial real estate and transactional experience in a law firm or in-house setting;
    • Proven ability to lead real estate acquisitions, dispositions, leasing and financing transactions on a first chair basis;
    • Excellent verbal and written communication skills and strong negotiation ability, with an eye toward pragmatic, mutually beneficial outcomes;
    • Strong interpersonal and client management skills , capable of interfacing with colleagues at all levels;
    • Capacity to multitask and handle a diverse and high-volume workload, while providing calm and professional client service;
    • Capable of working independently and as part of a team; and
    • JD and in good standing in at least one state with the ability to waive into Illinois bar.
