- Provide support to the Corporate practice group.
- Assist legal professionals with preparing documents to ensure compliance with federal, state, and local regulations.
- Coordinate transaction closings, manage signature page packages, and ensure the delivery of all necessary documents and deliverables.
- Confirm the contents of appropriate closing checklists.
- Manage corporate and securities filings, including Form D and state blue sky filings.
- Prepare, review, and file UCC financing statements.
- Order and evaluate UCC, lien, litigation, and similar searches.
- Review and compile officer's certificates, resolutions, organizational documents, and other deliverables.
- Work on special assignments involving routine fact or legal research, prepare reports, and handle associated filings.
- 5+ years of corporate paralegal experience in a law firm setting.
- Bachelor's degree or an Associate's degree with a Paralegal certificate.
- Proficiency in MS Suite, PDF creation tools, document management software, and timekeeping software.
- Familiarity with SEC filings, Form D, and BlueSky
- Availability for overtime as needed.
- Proven capability to meet deadlines and work effectively under pressure.
- Strong interpersonal skills for interacting with lawyers, paraprofessionals, and business services team members.
- Effective communication skills.
