    Description

    About the Position:

    We are working with a sophisticated private family office that has an immediate need for a board governance paralegal/manager (5+ yrs) to join its in-house legal team in Chicago.

    Responsibilities:

    Manage corporate documents and records

    Prepare draft agendas for board and committees

    Manage board and committee meetings logistics

    Facilitate orientation of new board members as well as assist with director training

    Manage annual elections of committee members, directors, and officers

    Prepare reports for board, committee, and management

    Oversee the Corporate Transparency Act process

    Work with outside vendors in relation to governance and ongoing filings

    Required Qualifications:

    5 or more years of board governance experience

    Knowledge of governance meeting procedures including minute taking

    Experience with corporate entity formation and maintenance

    Previous experience working in a family office, trust company, or investment management office is a plus

    Proficiency in Adobe and Microsoft Office

    Strong communication and time management skills
