Grellas Shah LLP is looking for an Associate Attorney. Primary responsibilities are mentioned below:

Job Duties:
-Draft and review transaction documents related to the equity financing transactions and merger and acquisitions transactions.
-Coordinate the due diligence of the invested companies, and prepare disclosure schedules to the transaction documents.
-Assist the clients in the daily corporate legal issues, including but not limited to preparing the board/stockholder resolutions, issuing options/shares under EIPs, managing cap tables.

Special Skills & Licenses
· Mandarin Language Skills Preferred
· State of California Bar License in Good Standing
· 36 months of experience with Emerging Companies & Venture Capital Law, or Mergers & Acquisitions.

Education Required:
· Juris Doctor Degree

Salary:
$239,200 per year
