    SUMMARY:

    Reporting to the General Counsel & Chief Compliance Officer, the Corporate Contract and Compliance Specialist will amongst other matters be responsible for implementing and overseeing a robust contract management processes and documentation archiving framework, implementation of company policies and standards and internal review and approval mechanisms, staying up to date with relevant state and federal laws and regulations and educating internal stakeholders on key updates, collaborating with cross functional teams to ensure compliance with internal policies and external regulations and conducting training for various head quarter and field based teams.

    KEY RESPONSIBILITIES:

    Corporate Governance
    • Keeping up to date with laws and regulations relevant to the company
    • Helping apply necessary changes to contracts and corporate policies to remain compliant
    • Drafting and reviewing organizational documents, keeping track of and filing corporate records, and maintaining and renewing the business licenses
    • Renewing and drafting employment contracts
    • Attending corporate meetings, taking minutes, drafting memos and other correspondence
    • Responding to document requests during litigation
    • Assisting the GC through all stages of corporate transactions and with corporate governance matters
    Contract Responsibilities:
    • Develop and set up a contract management process and framework.
    • Collaborate with departments to systematically evaluate contract terms and optimize business outcomes, taking into account legal, financial, and operational considerations.
    • Supporting with the contract reviews: analyze essential contracts, including non-disclosure agreements, vendor agreements, MSAs, consulting and other agreements with internal stakeholders and third-party vendors.
    • Manage contracts throughout their lifecycle, including utilizing templates, drafting, reviewing, while ensuring compliance with internal guidelines, external regulations.
    • Conduct due diligence and onboard new vendors with an end to end procurement process utilizing third party risk assessment tools.
    • Analyzing third-party agreements to understand terms, conditions, and special provisions of the contract.
    • Conducting cross-functional training sessions with cross functional teams, management teams and associates to explain compliance policies related to company operations.
    Compliance Responsibilities:
    • Develop and implement effective compliance programs and implement changes to compliance processes due to new or amended regulations.
    • Supporting CCO in developing and implementing comprehensive and regular trainings to all employees across Pharma and Derma Cosmetics business units, with a focus on the field teams, ensuring compliance with legal regulations and industry standards.
    • Disseminate written policies and procedures related to compliance activities and keep internal stakeholders informed about compliance standards and requirements
    • Verify that all company and regulatory policies and procedures have been documented, implemented, and communicated
    • Utilize established internal controls and auditing systems to conduct periodic internal reviews to ensure compliance procedures are followed. Conducting regular internal reviews or audits to ensure that compliance procedures are followed and support with annual risk assessment.
    • Conducting or directing the internal investigation of compliance issues
    • Manage and coordinate internal materials and events governance review and approval process and train all submitters on standards and requirements.
    • Prepare and coordinate compliance programs, reports, and documentation to ensure internal compliance across various departments and prepare quarterly updates for submission to the Board.
    • Collaborating with human resources departments to ensure the implementation of consistent disciplinary action strategies in cases of compliance violations
    • Supporting with transparency reporting and ensuring compliance with relevant reporting laws and regulations
    REQUIRED EDUCATION AND EXPERIENCE:
    • Proven experience as a Corporate Contract Compliance Specialist or in a similar role
    • 2 to 4 years of experience in the corporate sector. Good understanding of corporate governance requirements and legal entity management.
    • A Bachelor's degree in Business Management, finance or a related field.
    • Healthcare/compliance certification is a plus
    • Paralegal certification is a plus
    • Strong knowledge of applicable laws and excellent communication skills
    • In-depth knowledge of the industry's standards and regulations
    • Excellent knowledge of reporting procedures and record keeping
    • Methodical and diligent with outstanding planning abilities
    • An analytical mind able to appreciate the complexities of procedures and regulations
    • Excellent communication skills and ability to work under time pressure
    LOCATION:
    • New Jersey (hybrid)/ Will consider remote roles with commitment to operate on EST time zone
