    Corporate - Legal and CompliancePGIM Investments, the global investment management business of Prudential Financial, Inc., is seeking an attorney to serve as a member of PGIM Investments' legal team, focusing on PGIM Custom Harvest.

    PGIM Custom Harvest was acquired by PGIM Investments in December 2021.

    PGIM Custom Harvest is a separate registered investment adviser who offers strategies that provide clients with exposure to client-selected benchmarks while seeking to generate tax alpha through regular tax loss harvesting using primarily exchange-traded funds (ETFs).

    This position also will support the insurance mutual funds that are managed by PGIM Investments.

    Additionally, the position may support the other businesses of PGIM Investments (including PGIM ETFs, mutual funds, closed end funds, and UCITS) as well as provide regulatory support on new regulations.


    • With respect to PGIM Custom Harvest, the attorney would work closely with business partners on enhancing the platform, including drafting, reviewing and/or negotiating client agreements, intermediary agreements, service provider and other agreements, preparing/reviewing Form ADV and other disclosures, and working with the PGIM Investments team to continue to integrate the platform into PGIM Investments.
    • Provide legal advice to internal business clients on investment advisory, investment company and regulatory issues in developing new strategies and supporting existing strategies.
    • Provide legal support to key internal partners including product development, sales team, compliance and marketing departments.
    • Review annual ADV disclosures and any amendments; also assist with registration and regulatory disclosures for funds, including annual registration statements, N-CSR and semi-annual reports, proxy statements and information statements.
    • Provide legal support for responses to regulatory inquiries. Candidate must have at least five (5) years of experience in a law firm and/or in-house legal department, and must be prepared to work in a collaborative and demanding environment.
    Candidate must have a J.D.

    degree, be in good standing, and be admitted to practice law in New Jersey (or must be obtained within 12 months of start date) or obtain the New Jersey In-House Counsel License within 18 months of start date.

    • Requires a J.D. from a nationally recognized law school and at least five (5) years' experience as a lawyer in a major law firm or in the legal department of a leading financial services organization.
    • Experience with the Investment Advisers Act of 1940 and the Investment Company Act of 1940.
    • Familiarity with retail separately managed accounts, ETFs and/or insurance mutual funds.
    • The candidate should have exceptional analytical, written and oral communication and relationship building skills, and the ability to work effectively both independently and as a member of the team, in a demanding, fast-paced environment handling multiple tasks and projects concurrently while maintaining attention to detail.
    • The candidate must have a strong ability to solve problems in a practical manner and communicate legal, compliance and business issues/risks in an understandable way.
    • The candidate should be committed to staying abreast of regulatory developments (e.g., new SEC rules and enforcement proceedings) impacting covered businesses and assisting internal partners proactively respond to such developments.
    • The candidate should have the ability and desire to develop expertise in new or unfamiliar areas of law.

    The salary range for this role is from $204,700.00 to $276, Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills.

    Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, whereby an award, if any, depends on various factors including, without limitation, individual and organizational performance.
