We have a current opening for an Assistant General Counsel, which will report to the Deputy General Counsel, Business Transactions and Real Estate. This position will be the primary legal support for all of Hallmark and its subsidiaries' real estate activities, which range from development and operations to retail leasing. The primary internal clients of this position will be the General Counsel of Crown Center Redevelopment Corporation, the President of Crown Center Redevelopment Corporation and the Director of Hallmark's Retail Leasing group.

    **IN THIS ROLE YOU WILL:**

    This position will be responsible for a broad range of real estate matters, including complex real estate/development and construction projects and real estate purchase and sale agreements. This position will draft, negotiate and advise on construction contracts, management agreements, and development agreements. This position also requires review and analysis of title reports, surveys, environmental reports, zoning issues, land use issues and entitlements, as well as easements, design guidelines and declarations of restrictions. Additionally, in support of Hallmark's leasing activities, in capacities as both a lessor and a lessee, this position will be responsible for negotiating and advising on office and retail leases, subleases and amendments, negotiating and drafting co-tenancy, percentage rent and partial lease year provisions as well as resolving a variety of other lease related issues, such as CAM and tax allocations.

    **BASIC QUALIFICATIONS**

    Minimum 10 years' experience

    Juris Doctorate degree from an accredited U.S. law school

    Licensed to practice an an active member in good standing of the bar in one of the U.S. states

    **PREFERRED QUALIFICATIONS**

    Experience representing a major national retailer or landlord is a plus.

    Hands on retail lease negotiation experience for space in malls and open air shopping centers.

    Experience working with projects involving economic incentives (such as 353, TIF, etc.) and Community Improvement Districts.

    Experience navigating local and state government requirements.

    Experience supervising a team of paralegals, coordinating with business teams and interacting with outside real estate counsel.

    The ability to meet demanding deadlines and manage competing projects and priorities.

    Highly responsive with a service-oriented attitude.

    This role will be able to work remotely, but will also need to be on-site in Kansas City, MO on occasion. There is a possibility of relocation for this role.
