    INTRODUCTION


    This position reports directly to the Associate Vice President for Legal Affairs and University Deputy General Counsel and is responsible for the provision of legal advice and services to University executives and operating units with emphasis on compliance, transactional and research matters.


    DUTIES AND RESPONSIBILITIES
    A. Legal Services


    • Provides advice and counsel to University officers, administrators and designated representatives on the full range of University legal issues and matters, including but not limited to matters relating to legal and regulatory compliance, data governance and security, contracts, student and academic affairs, financial aid, research, and intellectual property.
    • Drafts, reviews and/or revises University rules, policies and procedures to align with legal and regulatory compliance requirements.
    • Provides training on legal matters to University administrators, staff, and designated representatives.
    • Reviews and/or approves contracts and agreements as to legality and form, and makes recommendations for approval of legal documents.
    • Drafts, reviews and provides advice about data, real property, affiliation, and other legal documents relating to University business and operations.
    • Furnishes legal opinions as requested by the Board of Regents and senior level executives.
    • Performs legal research and analyses.
    • Attends Board of Regents meetings, as appropriate, to provide information, case summaries, status reports of specific matters, etc.
    • Advises and counsels executives and managers on matters involving laws of nation-wide and state-wide concern, such as regarding compliance programs and activities, data governance and security, human resources, financial and export controls, and ethics and conflicts of interest.
    • As appropriate, drafts testimony and testifies before State legislative committees and meets with Legislators on legislative proposals affecting the University.
    • Interfaces with federal, State and county agencies, including with respect to University research and compliance matters.
    • Meets regularly with clients to prepare for negotiations, proceedings, and enforcement proceedings.
    B. Representation in Courts, Administrative Hearings, Arbitrations and Legal Proceedings


    • As needed, assists with representing the University in federal and State courts in litigation matters, including pretrial, trial and appellate work; legal research and drafting pleadings, motions, discovery, and briefs; conducting and defending depositions; and participating in oral arguments as needed.
    • Represents the University in administrative hearings, arbitrations, mediations, and other legal proceedings with external agencies, including but not limited to federal regulatory and funding agencies, State regulatory and funding agencies, and the State Ethics Commission.
    C. Other Related Duties


    • Maintains case records/statistics.
    • Keeps abreast of current case law and legal developments.
    • Keeps abreast of University policies and procedures; federal laws, rules, regulations, codes, and executive orders; State statutes, rules and executive directives.
    • Develops and implements effective working protocols with support staff as appropriate for the effective handling and management of case matters and files.
    • Keeps the Vice President for Legal Affairs and University General Counsel and University administration apprised of significant cases, risks and projects.
    • Attends meetings with the President of the University, Board of Regents and University executives.
    • Provides status reports and responds to inquiries.
    • Performs other duties as may be assigned.

    MINIMUM QUALIFICATION REQUIREMENTS

    • Law degree from an accredited school of law.
    • Admission to the Hawaii State Bar, and license to practice in the Federal District Court.
    • Five years of experience as a licensed attorney.
    • Ability to communicate effectively with diverse constituents in higher education.
    • Ability to work effectively and independently and to take directions from supervisor and clients.
    • Ability to communicate effectively in writing and verbally on diverse subject matters both in legal and academic settings.
    • Ability to research, analyze, write about, and present legal issues and concepts in a clear, concise manner.
    • Progressive responsibility for contract review and drafting and advice on business transactions.
    • Familiarity with State laws and legislative processes affecting public agencies in the State of Hawaii.
    • Ability to work as part of a team to provide quality legal services.

    DESIRABLE QUALIFICATIONS

    • Experience with legal and regulatory compliance issues facing public institutions of higher learning, including but not limited to issues regarding FERPA, export controls, data governance and security, ethics and conflicts of interest, rulemaking and contested cases, limits on public fund expenditure, contract administration, student affairs, athletics, intellectual property, academic freedom and integrity, promotion and tenure, university foundation-related matters, and emerging related subject matters.
    • Experience in civil litigation, trial and appellate practice, and labor and employment law.
    • Familiarity with Federal and State constitutional principles of equal protection and due process.
    • Knowledge of Microsoft Word, Excel, Adobe Acrobat, and Google Workspace is extremely desirable.
