    RESPONSIBILITIES:

    • Negotiate and draft business contracts for different business areas, including development, operations, procurement, marketing, human resources, etc.
    • and negotiate commercial real estate leases, estoppels, SNDAs, and build agreements, amendments, and renewals.
    • litigation matters, including preparing document productions and responding to discovery requests.
    • state and local regulations affecting the restaurant industry and advise regarding compliance efforts, including, but not limited to, food packaging, menu, etc.
    • an organized and up-to date database including state registrations in all states in which the Company does business, contracts, trademarks, licenses and permits.
    • Review and analyze complex business issues to provide recommendations to the Executive Team.
    • Develop and implement company policies, procedure documents, compliance programs, and standard legal forms.
    • Ensure that strong internal controls relating to the company's contracting process are in place.
    • Properly set up necessary entities, LLC's for the appropriate areas of the business.

    REQUIREMENTS:

    • Juris Doctor (J.D.) from ABA accredited law school.
    • Member in good standing of at least one State Bar.
    • Preferred 5+ years of corporate legal experience including prior large corporate law firm and/or in-house experience.
    • Experience with contract drafting and negotiation, including the ability to assess risk and add value while providing sound legal counsel.
    • Experience in advising retail and/or restaurant clients preferred.
    • Ability to effectively collaborate cross-functionally, manage simultaneous projects and prioritize deadlines.
    • Excellent writing and oral communication skills and the ability to constructively, efficiently, and collegially collaborate with all levels of management, staff, outside counsel and business partners.
    • Must be responsive, pro-active, and a self-starter capable taking projects to completion and problem-solving along the way.
