    Description

    The Associate Transaction Counsel is an internal legal opportunity to support the creation, closure, and management aspects of C-PACE financing deals ranging from $5,000,000 to $25,000,000+.



    Responsibilities and Tasks

    • Compose and discuss commercial C-PACE financing documents and related agreements.
    • Conduct legal due diligence on transactions, including: inspecting capital structures and other funding sources' paperwork, examining environmental status and documents, scrutinizing borrower firm documents, title deeds, condominium papers, lease contracts, contractor installation agreements, etc.
    • Recognize, assess, and deal with legal risk concerns.
    • Examine final, property transfer, loan, and corporate resolution documents for transactions.
    • Monitor transaction activities, participants, and crucial dates, and update the team on progress as issues and tasks get resolved.
    • Handle post-closure matters.
    • Assist in corporate governance and regulatory affairs relevant to the C-PACE investment category, as required.
    • Conduct fundamental legal and business research.
    • Similar duties as circumstances require.

    Educational Requirements

    • Doctoral Degree in Law Required

    Work Experience

    • 3+ Years Required; 5+ Years Preferred

    • Minimum 3+ years in a law firm or in-house legal role
    • Doctor of Law Degree

    Expected Posting End Date:

    Base Pay Range: $114,400/yr. - $160,000/yr.

    The actual base salary may vary based on relevant experience, tenure in the role, base pay of internal colleagues, past performance, business sector, and geographical location. Besides the base salary, the competitive compensation package might include, based on the position, participation in an incentive scheme linked to performance.
