    We are seeking a skilled and experienced Healthcare Transaction Partner to join our clients dynamic legal team.

    As a Healthcare Transaction Partner, you will play a critical role in providing legal support and guidance on a wide range of healthcare transactions, including mergers and acquisitions, joint ventures, strategic partnerships, and other complex transactions.


    Responsibilities:

    • Provide legal advice and counsel on healthcare transactional matters, including mergers, acquisitions, divestitures, joint ventures, and strategic partnerships.
    • Conduct due diligence reviews and analysis to identify and assess legal risks associated with healthcare transactions.
    • Draft, review, and negotiate transactional agreements, including purchase agreements, asset and stock purchase agreements, partnership agreements, and other related documents.
    • Collaborate with internal stakeholders, including senior management, finance, and compliance teams, to ensure legal compliance and mitigate risks associated with healthcare transactions.
    • Stay uptodate with healthcare laws, regulations, and industry trends to provide proactive and strategic legal advice.
    • Participate in contract negotiations, including engaging with external parties and their legal representatives.
    • Assist with the development and implementation of legal policies, procedures, and best practices related to healthcare transactions.

    Qualifications:

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Licensed and in good standing with the Ohio bar.
    • Minimum 10+ years of experience as a practicing attorney, with a focus on healthcare transactional matters.
    • Indepth knowledge of healthcare laws, regulations, and industry practices, including Stark Law, Anti-Kickback Statute, HIPAA, and Medicare/Medicaid regulations.
    • Proven experience in structuring and negotiating complex healthcare transactions.
    • Prior experience working in a law firm or inhouse legal department specializing in healthcare transactions is preferred.
    • Portable book of business strongly preferred.
