    What will you do as a Vice President of Legal Affairs and Compliance?

    This position provides solid legal guidance, framework and leadership to the Vopak North American division in the areas of commercial contracts, mergers and acquisitions, joint ventures, employee relations, environmental and risk management. Actively contributes to, or initiates, policy formation and complex legal matters.

    What do we expect from you as a Vice President of Legal Affairs and Compliance?

    • Must possess or be able to obtain a TWIC (Transportation Worker Identification Credential) as required by the Maritime Transportation Security Act.
    • Proven track record and pragmatic approach to providing legal counsel to a business unit, division or corporate office.
    • 8+ years of legal experience, including law firm and in-house corporate legal
    • Collegial team-player, able to build rapport and trust with both internal and external stakeholders
    • Must have experience working with Operations/Manufacturing clients and contracts, joint ventures, structuring corporate entities, commercial contracts or corporate finance
    • Exceptional analytical, interpersonal and networking skills, linguistic competence, conceptually strong and good communicator; both written and oral.
    • Strong interpersonal, negotiating and communications skills
    • Excellent organizational skills; ability to multi-task; proven analytical skills and attention to detail
    • Problem solving skills; ability to identify and resolve problems

    What does your day look like?

    Your core responsibilities are:

    • Abides by all safety procedures and practices applicable to location and position; participates in appropriate safety training; demonstrates commitment to and support of SH&E principles and values; champions safety as necessary
    • Provide legal advice and support to division management team in order to create favorable conditions, minimize adverse consequences for Vopak and enable the division leadership to determine strategies for achieving Vopaks objectives
    • Draw timely attention to relevant legal developments and make suggestions and monitor follow up on the implementation
    • Negotiate, draft and judge various types of contracts, often in cooperation with other disciplines (tax, treasury and control, SHE, human resources and/or risk management), within, where applicable, Vopak directives and guidelines, in order to give clear and efficient legal advice. Those type of contracts may be storage contracts that require Executive Board approval (holy list), but more often they relate to business development incl. land lease, co-siting, construction (EPC), M&A or joint-venture projects, corporate finance, and IT, consultancy and/or procurement.
    • Provide professional legal support for judging and actively participating in the realization of national investments, divestments, mergers, de-mergers or split-offs, acquisitions, joint ventures and other forms of cooperation in the US and taking care of the proper structuring thereof, in order to ensure a legally sound structure with minimal risk.
    • Draft information memoranda, perform due diligences and assess data-rooms and advise staff for their go or no go decisions on the basis thereof. Initiate, handle or monitor and satisfactory settle claims under representations and warranties given or provided.
    • Prevent and resolve legal conflicts with third parties and, if necessary, represent or have the organization represented at legal procedures in order to ensure the proper outcome while keeping emphasis on image and commercial interests of Vopak.
    • Handle claims and complaints and inform relevant stakeholders within Vopak, to avoid similar claims or complaints in future and to minimize adverse consequences for Vopak.
    • Play an active role in choosing, directing and supervising external counsel in North America and maintain a legal network of company lawyers and outside counsel, and make comprehensive translations towards the business in order to provide clear and efficient legal support.
    • Works on special projects for Division President or Global Director Legal Affairs & Corporate Secretary, as assigned
    • Performs other duties assigned by the global or division management team that fall within the generally expected scope of this position

    Work Environment

    This employee generally works in an office environment, away from extremes of cold or heat. Limited to no exposure to noise and vibrations other than normal daily office sounds. The noise level in the work environment is usually moderate. The employee should not have regular exposure to fumes, odors, toxic conditions, dust or poor ventilation.

    Physical Demands

    While performing the duties of this job, the employee is regularly required to walk, sit, speak and hear. The employee is required to stand, use hands to finger, handle, or feel; reach with hands and arms; the employee may be required, on occasion, to climb or balance, stoop, kneel, or crouch. The employee may occasionally lift and/or move up to ten (10) pounds. Specific vision abilities required by this job include close vision, peripheral vision, depth perception and ability to adjust focus. Employee may be required to travel by air, rail, bus, or car.
