Boutique, tech-savvy Hedge Fund located in NYC is looking to hire In-House Counsel / Securities Counsel to be it's # 1 attorney. We are a private boutique investment firm. We seek to create positive economic impact and long-term value for our investors, the companies we invest in and the communities in which we work. We do this by using extraordinary people and flexible capital to help companies solve problems. Our asset management businesses include investment vehicles focused on private equity, real estate, public debt and equity, growth equity, opportunistic, non-investment grade credit, real assets and secondary funds, all on a global basis.

THIS IS A 100% REMOTE POSITION (You can live anywhere in the USA although we strongly prefer candidates who live in either EST or CST states due to the CEO's schedule).

From time to time, we use outside counsel (international, big law firm) but we need an In-House counsel to handle the day-to-day affairs and to reduce outside billing expenses by big law. You will work with them for some tasks you may not have jurisdiction over (international laws). But you'll be our primary person for all legal operations of our business. You MUST be able to move quickly, and navigate complex legal scenarios, structuring, and regulatory.

WE ARE LOOKING FOR CANDIDATES WHO HAVE EXPERIENCE IN SOME OF THE FOLLOWING SUB-AREAS OUT OF 2 PRIMARY AREAS OF LAW:

1) General Business Law (US/Cayman/Intl):

• Contract Law
• Corporate Formation
• Corporate Transparency Act (CTA) and Beneficial Ownership
• Information Reporting filings
• Employment, Independent Contractor Law and Agreements
• Intellectual Property: Licensing, Copyright, Trademark
• International Law
• Regulatory (SEC, FINRA, FCA)
• Blockchain, Cryptocurrency, Digital Assets
• Web Operator Disclosures (TOS/T&C, PP, GDPR)

2) Securities and Finance:

• Asset Purchase Agreements
• Subscription and Stock Purchase Agreements
• Startup Financing
• Fundraising
• Private Placement Memorandum
• ⁠Private Credit Agreements
• Corporate Contracts
• ⁠US Regulations A+, Reg D (506b & 506c), Reg S, Reg CF
• Fintech and Hedge Fund Structuring
• Cap Tables

COMPENSATION WILL BE PAID BASED ON YOUR EXPERIENCE AND WHAT YOU BRING TO THE TABLE - WE OFFER A COMPETITIVE RANGE OF $300k to $500k IN TOTAL COMPENSATION
