    Summary

    This position is located in the Assets Disposition & Receivership Management Unit, Resolution & Receivership Branch and is responsible for legal support to failed IDI receiverships, including asset management and sales, real estate law, environmental law, bank closings, receivership powers and operations, administrative law and corporate law.

    Duties

  • Assists with analyzing, structuring, drafting and negotiating documentation for corporate transactions, such as marketing and sales of loans and other financial instruments; commercial real estate purchases and sales, acquisition, development, construction and finance; mergers and acquisitions of businesses; joint ventures and other structured transactions; mortgage servicing sales; secured lending transactions for assets other than real property; or transactions involving, options, warrants or other derivatives.
  • Assists with the conduct and oversight of legal negotiations of settlements or other resolutions of contractual disputes, claims or liabilities, and provides legal advice and other related legal assistance, including preparing or assisting with the drafting of documentation regarding the same.
  • Assists with the negotiation and consummation of settlements, workouts and restructuring agreements that arise from the liquidation of failed financial institutions. Typically, these negotiations involve legal cases or matters of such scope and complexity that they encompass the most difficult legal matters or issues addressed by the legal section.
  • Serves as a subject matter expert in one or more of the following subject matters or practice areas (or such other areas in which attorneys in the Section may need to be proficient): (i) real estate law and law relating to the acquisition, sale, development and construction of real property; (ii) commercial and secured lending law; (iii) affordable housing law and transactions; (iv) general contract law; (v) law governing lending and lenders; (vi) mortgage servicing, including Fannie Mae, Freddie Mac and Ginnie Mae mortgage origination and servicing requirements; or (vii) environmental law and transactions.
