    Job Title: General Counsel & Corporate Secretary

    Department: Law

    Reports to: President & Chief Operating Officer

    Location: Mount Laurel, NJ

    Overview:

    The General Counsel is Conrail's primary legal resource and is responsible for overseeing all legal affairs. The General Counsel works closely with internal stakeholders to advise on a wide array of matters, including commercial and real estate transactions, litigation, labor and employment, regulatory, environmental, government relations, and audit and compliance. The General Counsel's main duties include reviewing and negotiating various contracts, collaborating with senior staff members to balance legal risk with business objectives, and managing the law department, which consists of 2-3 attorneys, 2 paralegals, and 1-2 support staff. The General Counsel also acts as Conrail's Corporate Secretary and is responsible for coordination of the Company's Board of Director's meetings.

    Key Responsibilities:

    • Manage the legal, corporate, governmental, and communications functions.
    • Responsibly manage departmental budget, including distribution of legal work to outside counsel.
    • Provide legal advice and expertise on Federal and State law and regulatory-related matters to all Conrail Departments.
    • Evaluate emerging federal, state, and local regulatory trends as they arise and communicate to Conrail executive management.

    Qualifications:

    • Law Degree and admitted to practice law in Conrail service territory (PA, NJ, DT).
    • 10+ years' experience with at least 5 years in a corporate, in-house, setting with a strong preference towards existing railroad/RLA experience.
    • Previous experience environmental law, regulatory law, and risk management law a plus.
    • Read, write, speak, and understand the English language.
    • Strong interpersonal and communication (verbal & written) skills.
    • Demonstrated problem solving skills, customer focus, and ability to successfully run an in-house legal department or significant experience managing attorneys, paralegals, and support staff.
    • Experience using Microsoft Word, PowerPoint, Excel, and Access

    Physical Requirements:

    • Report to work on a regular and consistent basis.
    • Work from home up to one day/week.
    • Occasionally work extended and irregular hours.
    • Lift up to 15 pounds.
    • Travel to different locations.

    Compensation:

    Salary Range: $225,000 - $250,000, short-term incentive 45%-67.5%, and long-term incentive.
