The practice advises lenders and borrowers on sophisticated capital structures, including tax equity bridge loans, backleverage financings, and pre-NTP financings. Key Responsibilities

As a Project Finance Associate Attorney, you will:

• Draft and negotiate credit facilities, depositary account agreements, letters of credit, and performance and payment bonds

• Prepare and review balance of plant agreements and supply agreements (including transformer, module, BESS, turbine, and inverter supply agreements)

• Draft and close security documents such as security agreements, pledge agreements, financing statements, and control agreements

• Prepare New York law legal opinions, direct agreements, consents to collateral assignments, and reliance letters

• Conduct due diligence reviews and prepare bankability analyses on project documentation

• Support tax equity bridge loans, backleverage financings, and other project finance structures

• Advise both lender- and borrower-side clients across complex financial transactions

This role provides meaningful exposure to cross-disciplinary capital markets and finance work, blending elements of Corporate - Securities and Capital Markets with sophisticated project development transactions.

Qualifications

• 2–3 years of project finance experience

• Experience representing lenders and borrowers in structured finance transactions

• Proficiency drafting LSTA credit agreements and New York law-governed security documents

• Familiarity with EPC contracts, offtake agreements, supply agreements, and reliance letters

• Strong analytical and problem-solving skills

• Ability to work independently and collaboratively in a fast-paced environment

• Juris Doctor (JD) from an accredited law school

• Admission to the Texas Bar (Texas Bar required) or eligibility for admission in the jurisdiction
