Responsibilities:

Supporting the General Counsel and Chief Compliance Officer in maintaining policies and adhering to federal/state securities laws, regulations, and disclosure requirements and conduct regular assessments to identify compliance risks.
Research and advise on securities transactions, corporate deals, and various SEC-regulated processes.
Ability to advise on matters including employment, ERISA, litigation, 1940 Act, Investment Company Act, and similar regulations.
Drafting, reviewing, and negotiating a variety of contracts and agreements.
Provide proactive legal counsel and implement risk mitigation strategies in collaboration with relevant stakeholders.
Identify and assess legal and regulatory risks related to securities matters and other legal aspects while supporting the General Counsel and Chief Compliance Officer.
Work closely with external counsel, senior management, and various business units to provide strategic legal support.

Qualifications:

3+ years of legal experience
License to paractice in Ohio
Strong understanding of federal/state securities laws, regulations, and corporate governance
