    Job Summary

    We are seeking a highly skilled and experienced Senior Legal Counsel to join our dynamic legal team. The Senior Legal Counsel will be responsible for providing strategic legal advice and guidance to senior management and various departments within the organization, as well as ensuring that the company's activities and transactions comply with the regulations and requirements of the Committee on Foreign Investment in the United States (CFIUS). This individual will play a key role in managing legal risks, ensuring compliance with applicable laws and regulations, and supporting the company's business objectives. This individual will also play a key role in assessing the potential national security implications of proposed transactions, conducting CFIUS risk assessments, and implementing appropriate compliance measures.

    In this role, you will be a key partner to senior management and various departments, including sales, marketing, finance, and operations. Your expertise in CFIUS compliance will be essential as the company navigates an increasingly complex global landscape.

    Responsibilities:

    • Provide comprehensive legal counsel and support on a wide range of corporate matters, including:
    • Contracts (commercial, licensing, vendor, employment)
    • Corporate governance
    • Intellectual property
    • Employment law
    • Litigation
    • Regulatory compliance (with a focus on semiconductor industry regulations)
    • Draft, review, and negotiate complex legal agreements.
    • Conduct thorough legal research and analysis to ensure adherence to all applicable laws and regulations.
    • Advise senior management on critical legal issues impacting the business and develop strategic solutions for risk mitigation and dispute resolution.
    • Collaborate with cross-functional teams to address legal aspects of new business initiatives, product development, and strategic partnerships.
    • Manage external legal counsel and third-party providers to ensure efficient and cost-effective legal support.
    • Stay up-to-date on evolving legal developments within the semiconductor industry and proactively inform stakeholders.
    • Assist in developing and implementing comprehensive corporate policies and procedures that promote legal compliance and best practices.
    • Be the central point for all matters related to the Committee on Foreign Investment in the United States (CFIUS). This includes developing a comprehensive compliance program with policies, procedures, and internal controls.
    • Collaborate with internal teams to gather information and documentation for CFIUS filings and notifications. Additionally, ensuring on-time and accurate submission of these filings in accordance with strict regulations is crucial. Maintaining accurate and detailed records of all CFIUS compliance activities is important for ensuring transparency and efficient future reference.

    Qualifications:

    • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the state Bar.
    • Minimum 10 years of experience in compliance, legal, or regulatory affairs, with specific experience in CFIUS compliance preferred.
    • In-depth understanding of CFIUS regulations, guidelines, and processes, as well as broader knowledge of national security considerations related to foreign investment.
    • Proven track record of providing strategic legal advice and guidance to senior executives and key stakeholders.
    • Strong negotiation skills and experience drafting and reviewing complex commercial agreements.
    • Strong analytical skills and the ability to assess complex transactions and identify potential compliance risks.
    • Excellent analytical, problem-solving, and decision-making abilities.
    • Ability to work independently and manage multiple priorities in a fast-paced environment.
    • Strong interpersonal and communication skills, with the ability to effectively interact with individuals at all levels of the organization.
