It is directly tied to deal execution, downside protection, value preservation, and risk containment across active investments and platform companies.

The Litigation Attorney role is designed for a highly capable legal operator who can proactively manage disputes, protect enterprise value, and partner closely with investment and operations leadership.

Role Overview:
The Litigation Attorney will own and manage all litigation-related matters across the firm and its portfolio companies. This includes pre-litigation risk mitigation, active disputes, regulatory matters with adversarial posture, post-close claims, and complex commercial conflicts.
This is not a document-review role.

You will be expected to exercise judgment, set strategy, control outside counsel, and advise the investment team in real time on risk, leverage, and outcomes.

Key Responsibilities:
Litigation & Dispute Management

Lead and manage all litigation matters involving the firm, portfolio companies, and affiliates, including:

Commercial disputes

Contractual claims

Shareholder and partnership disputes

Employment-related litigation

Post-M&A indemnification and earnout disputes

Develop litigation strategy aligned with business objectives, capital preservation, and timing considerations.

Serve as primary internal point of contact for all adversarial matters.

Outside Counsel Oversigh
t

Select, retain, and actively manage outside litigation counsel.

Control legal spend through scoped engagements, fee negotiations, and outcome-based oversight.

Ensure external counsel advice is pragmatic, commercially grounded, and aligned with sponsor priorities.

Deal Support & Risk Mitigati
on

Support deal teams during diligence by identifying litigation, contingent liabilities, and structural risk.

Advise on litigation exposure in LOIs, purchase agreements, indemnities, escrows, and reps & warranties.

Assist with post-close dispute prevention and enforcement planning
.

Portfolio Company Advis
ory

Act as trusted legal advisor to portfolio company executives during disputes.

Help management teams navigate litigation while maintaining operational focus.

Design escalation frameworks for disputes before they become value-destructiv
e.

Regulatory & Special Situat
ions

Manage adversarial regulatory matters, investigations, and enforcement actions where applicable.

Support special situations including distressed counterparties, fraud claims, injunctions, and emergency rel
ief

Internal Reporting & Judgment Provide concise, decision-oriented legal assessments to senior leader
ship.

Translate legal risk into business impact, probability-weighted outcomes, and recommended actions.

Maintain internal litigation dashboards, risk summaries, and resolution tracking.

Qualifications:
J.D. from an accredited U.S. law school.

Active license and good standing in at least one U.S. jurisdiction.

5–10+ years of litigation experience, with substantial exposure to complex commercial matters.

Background in:
Top-tier law firm litigation group and/or
In-house litigation role at a private equity firm, portfolio company, or financial sponsor-backed business.

Strong experience managing outside counsel and controlling legal strategy.

Demonstrated ability to exercise independent judgment under uncertainty.

High business acumen and comfort advising senior executives and investors.

Ideal Candidate Profile

Prior experience supporting private equity sponsors or sponsor-backed portfolio companies.

Familiarity with M&A-related disputes, indemnification mechanics, and post-close litigation

Comfortable operating in lean, fast-moving environments without extensive infrastructure.

Low-ego, high-ownership mindset with a bias toward resolution over theatrics.
