- Assist attorneys in all stages of corporate transactions, including mergers and acquisitions, financings, and corporate reorganizations.
- Conduct thorough legal research and analysis on corporate law matters, regulatory requirements, and due diligence investigations.
- Draft and review legal documents and agreements, including contracts, shareholder agreements, and corporate resolutions, ensuring accuracy and adherence to relevant legal standards.
- Prepare and file corporate documents with state and federal regulatory authorities, such as articles of incorporation, certificates of formation, and annual reports.
- Assist with the drafting and preparation of securities filings, including Form D, Form S-1, and periodic reports.
- Coordinate and manage closing processes, including the preparation of closing binders, tracking key deadlines, and facilitating communications with internal and external parties.
- Support attorneys in conducting corporate audits, including document review, analysis, and reporting.
- Assist in the preparation and organization of board meetings and shareholder meetings, including drafting agendas, preparing meeting materials, and taking minutes.
- Maintain and update corporate databases and document management systems to ensure accurate and efficient retrieval of information.
- Collaborate with attorneys and other paralegals to ensure seamless workflow, effective communication, and efficient completion of tasks.
- Bachelor's degree and completion of a paralegal certificate program from an accredited institution. Advanced degrees in law or related fields are a plus.
- Minimum of 3 years of experience as a Corporate Paralegal in a top-tier law firm or corporate legal department.
- Strong knowledge of corporate law principles, procedures, and documentation.
- Experience with corporate transactions, including mergers and acquisitions, securities offerings, and corporate governance matters.
- Proficient in legal research and familiar with relevant legal research tools and databases.
- Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts.
- Strong organizational skills and attention to detail, with the ability to manage multiple tasks and prioritize deadlines.
- Proficiency in using legal case management software and document management systems.
- Demonstrated ability to work independently, as well as collaboratively in a team environment.
- Strong work ethic, professionalism, and a commitment to maintaining confidentiality.
