Legal Counsel - Dallas, United States - Taylor Root

I am currently working with an investment management company based in Dallas who are looking to recruit an in-house lawyer on a contract basis with expertise in fund formation to join their legal team. The ideal candidate will have a strong background in investment fund formation and joint ventures (although JV experience is not a must have).

Responsibilities

• Lead the legal aspects of fund formation, including structuring, documentation, and regulatory compliance.
• Draft and review fund offering documents, including private placement memoranda, limited partnership agreements, and subscription agreements.
• Provide legal advice and guidance on investment fund-related matters to senior management, investment teams, and other stakeholders.

Qualifications

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission and good standing to at least one state bar
• 3-10 years of experience practicing law, with a focus on investment fund formation and securities regulation.
• Strong understanding of investment fund structures, strategies, and industry best practices.
• Demonstrated experience drafting and negotiating complex legal documents, including fund offering materials and agreements.
• Excellent analytical, problem-solving, and decision-making skills with a keen attention to detail.
